Welcome to Dental Fill-ins, The Job Board Platform Company. These Terms of Service ("Terms") constitute a legally binding agreement between you—whether personally or on behalf of an entity—and Dental Fill-ins ("we," "us," or "our"), concerning your access to and use of our website and mobile application. The Platform is an online venue connecting dental practices ("Dental Offices") that post employment or contract opportunities with dental professionals ("Job Seekers" or "Dental Professionals") seeking employment or temporary placements. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must immediately cease using our services.
1. Definitions and Platform Role
"Dental Office" refers to any dental practice, clinic, hospital, dental support organization (DSO), or authorized representative posting job listings on the Platform. "Dental Professional" refers to any licensed dentist, dental specialist, registered dental hygienist, dental assistant, or dental administrative staff member utilizing the Platform to view or apply for job postings. "Users" refers collectively to Dental Offices and Dental Professionals. Our Role: As outlined by industry standards on sites, "We provide a platform for posting job listings, searching for jobs, and managing the application process." We act solely as a facilitator. We are not an employment agency, employer, or joint employer. We do not hire, screen, recommend, or veto applicants, nor do we dictate the clinical operations or employment practices of participating Dental Offices.
2. Account Registration and Verification
Eligibility: To use this Platform, Users must be at least 18 years old. Dental Professionals must hold valid, active, and unencumbered professional licenses or certifications required by their state or local jurisdiction to practice their designated specialty. Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and keep it updated. Verification: We reserve the right, but assume no obligation, to verify any information Users provide, including professional credentials, state licensure, and corporate status.
3. Terms for Dental Offices (Employers)
Job Postings: Dental Offices are solely responsible for the content of their job listings. Postings must be accurate, truthful, and compliant with all local, state, and federal laws, including equal employment opportunity laws. Worker Classification: Dental Offices are solely responsible for determining whether a hired professional is classified as an employee or an independent contractor, ensuring adherence to the American Dental Association (ADA) framework and "federal regulations that govern employment status." Fees and Payments: Dental Offices agree to pay all applicable subscription fees, pay-per-post fees, or placement success fees as outlined in our active pricing schedule at the time of posting. All fees are non-refundable unless stated otherwise. No Platform Liability for Matches: When a connection is made, as emphasized on platforms, "While the Company plays a pivotal role in facilitating these connections through its Platform, it is not directly involved as a party to these employment contracts."
4. Terms for Dental Professionals (Job Seekers)
Applications: Dental Professionals are solely responsible for the information, resumes, certifications, and background details submitted through the Platform. You represent and warrant that all information submitted is honest and complete. Independent Evaluation: We do not review or evaluate employment contracts on your behalf. Candidates are strongly encouraged to seek independent review of covenants, such as non-compete radiuses or production metrics, or use services like the American Dental Association Contract Analysis Service, which "provides only general information about the terms of agreements, which is not, nor is it intended to be, a substitute for legal advice." No Guarantee of Placement: The Platform does not guarantee that Dental Professionals will secure interviews, employment offers, or contract opportunities by using our services.
5. Prohibited Conduct and User Content
Users agree not to utilize the Platform to: Post false, misleading, or deceptive job openings or candidate profiles. Discriminate against applicants or offices based on race, color, religion, sex, national origin, age, disability, or genetic information. Harvest, scrape, or collect other users' contact information for unauthorized marketing or solicitation (e.g., spamming or poaching clients). Circumvent the Platform's billing or messaging mechanics to avoid paying contractually agreed-upon platform fees. Post any content that infringes upon the intellectual property, privacy, or proprietary rights of any third party.
6. Intellectual Property Rights
Unless otherwise indicated, the Platform, including its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics, is owned or licensed by us and is protected by copyright, trademark, and intellectual property laws. Users retain ownership of their uploaded content (resumes, job descriptions, logos), but grant the Platform a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content to facilitate job matching.
7. Disclaimers and Limitation of Liability
"As-Is" Basis: The Platform is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. No Liability for Disputes: We do not intervene in disputes, structural misunderstandings, malpractice claims, or wage disagreements between Dental Offices and Dental Professionals. Limitation of Damages: In no event shall Dental Fill-ins, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profit, lost revenue, or loss of data—arising from your use of the Platform.
8. Indemnification
You agree to defend, indemnify, and hold harmless Dental Fill-ins and its affiliates from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (a) your uploaded content; (b) your use of the Platform; (c) your breach of these Terms; or (d) any clinical or operational dispute arising from a job placement initiated through the Platform.
9. Termination
We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Platform to any person or entity for any reason, including, without limitation, breach of any representation, warranty, or covenant contained in these Terms.
10. Governing Law and Dispute Resolution
The laws of the Commonwealth of Massachusetts govern these Terms of Service. Any dispute relating to the use of Dental Fill-ins or these Terms of Service will be handled under Massachusetts law and, when necessary, in a court located in Massachusetts. Before starting a legal action, both parties agree to make a reasonable effort to resolve the issue directly and in good faith.
